Terms of Service
Effective August 31, 2026
These Terms govern use of Updevly at https://www.updevly.com, including anonymous formula tools, free accounts, formula history, and paid Pro subscriptions. They are an agreement between you and Szabó Gergő (sole proprietor (egyéni vállalkozó), Hungary).
1. Agreement to the Terms
Using the service, or creating an account, means you accept these Terms.
By accessing or using Updevly, creating an account, or completing checkout, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the service.
You must be able to form a binding contract. If you use Updevly for an organization, you confirm you have authority to bind that organization.
You must be at least 16 years old, or older if your country requires a higher age for digital consent.
Mandatory consumer protections in the EEA, UK, and other jurisdictions still apply. Where these Terms conflict with rights that cannot be waived, those rights win.
2. The service
Updevly generates, explains, and fixes spreadsheet formulas. It is not professional advice.
Updevly lets you generate, explain, and fix Microsoft Excel and Google Sheets formulas in spreadsheet chat. Landing pages start a chat thread instead of waiting on the page for a one-shot answer. Signed-in users can keep history and upload an .xlsx workbook (Convex storage) so formulas can be written into a downloadable copy. Guest chats stay on the browser that holds the anonymous cookie. Generate, explain, and fix do not require a file. Pro subscribers receive higher monthly limits, full history, and priority AI processing as described on the pricing page at the time of purchase.
We do not guarantee that a formula will be correct, complete, optimal, or compatible with every spreadsheet version, locale, workbook, add-in, or dataset. You must review and test output before relying on it.
Updevly does not provide financial, tax, legal, accounting, employment, or other professional advice.
3. Accounts and security
- Authentication is provided by Clerk. Keep your sign-in methods confidential.
- You are responsible for activity under your account.
- Notify us promptly at the contact below if you suspect unauthorized access.
- Guest spreadsheet chats are tied to the updevly_anon_id cookie on that browser. Sign in on the same browser to claim those chats on your account and open them on other devices.
- We may suspend an account to protect the service, other users, or our providers.
- Do not share a single paid account in a way that bypasses plan limits.
4. Acceptable use
You must not:
- Break the law or submit unlawful, harmful, or infringing content.
- Bypass or overload usage limits, scrape the service abusively, or probe security except as permitted by law.
- Access another person’s account.
- Reverse engineer protected parts of the service except where the law allows it.
- Use the service to build a competing formula product by systematically copying our output at scale.
- Submit special-category personal data, children’s data, or payment-card numbers in formula prompts or uploaded workbooks.
5. Your content and data
Your prompts and saved formulas stay yours. We only get a license to run the product.
You retain rights in the prompts, formulas, chat transcripts, workbooks, and other content you submit (“Customer Content”). You grant us a limited, worldwide, non-exclusive license to process Customer Content solely to provide, secure, debug, and improve the requested feature, including sending prompts and a structural sample of uploaded workbooks to configured AI providers and storing workbook files in Convex storage while the chat exists.
On account deletion or verified erasure, we will delete Customer Content from live systems as described in the Privacy Policy, except records we must keep for law, tax, security, or disputes.
6. Data ownership and export
Customer Content belongs to you. Signed-in users can copy saved formulas from history and from chat, and download edited workbooks when the assistant returns a file. Guest chats are not available on another device until you sign in and claim them. We do not currently offer a bulk machine-readable export; you may request one by email and we will provide a reasonable copy of account-linked formula history and chats where technically feasible. We may use aggregated, de-identified usage statistics that cannot reasonably identify you.
7. Our intellectual property
Updevly, including its software, branding, documentation, and interface, is owned by us or our licensors. We grant you a limited, revocable, non-transferable license to use the service for your own internal or personal spreadsheet work. These Terms do not sell the service to you.
8. Free use, Pro billing, and auto-renewal
Paid plans renew until you cancel. EU consumers also have withdrawal rights described below.
Free use, signed in or not, is limited (currently 10 generations per day and 3 messages per chat). You may start unlimited chats. A signed-in account lets you open chats on any device and upload Excel workbooks. Pro is currently 500 generations per month, unlimited messages per chat, larger workbook uploads, spreadsheet photos, full history, and priority AI processing. We may change free allowances to protect reliability or prevent abuse.
Paid subscriptions are billed by Stripe in the currency shown at checkout. Plans are monthly ($7.99) or yearly ($59) unless a different price is shown at checkout. Subscriptions renew automatically at the end of each billing period until you cancel.
How to cancel: use Manage subscription in your billing dashboard (Stripe customer portal), which stops future renewals. You normally keep Pro until the end of the period already paid.
Failed payments: we may retry the charge and restrict Pro features if payment remains overdue.
Price changes: we will give at least 30 days’ notice before a price change applies to a renewal, unless a shorter period is required by a promotion that already disclosed the later price. You may cancel before the new price takes effect.
Refunds: except where consumer law requires a refund or we agree otherwise in writing, fees already paid are non-refundable after Pro access has been provided for the period.
9. EU/UK consumer withdrawal
Consumers generally have 14 days to withdraw from a distance contract.
If you are a consumer in the EEA or UK, you usually have 14 days from purchase to withdraw from a paid subscription concluded at a distance.
Updevly is a digital service that starts as soon as checkout succeeds and Pro is enabled. If you ask us to start the service during the withdrawal period (which happens when you complete checkout and immediately receive Pro), you acknowledge that you may lose the right of withdrawal for that paid period to the extent allowed by the Consumer Rights Directive and UK law, once performance has begun.
You can still cancel auto-renewal at any time. To request withdrawal where it still applies, email info@szbdev.eu with your account email and Stripe receipt.
10. Availability
We aim to keep Updevly available but do not promise a specific uptime, SLA, or maintenance window. Features may change. Third-party outages (Clerk, Stripe, Convex, AI providers, Vercel) may affect the service. Force majeure events excuse delayed performance.
11. AI providers and third-party tools
Formula generation uses third-party AI infrastructure. Those providers process prompt text under their terms. We are not responsible for third-party outages, model changes, or spreadsheet software (Excel or Google Sheets) itself.
12. Disclaimers and liability
We limit liability where the law allows. We do not take away rights the law says you keep.
To the maximum extent permitted by law, the service and all output are provided “as is” and “as available,” without warranties of accuracy, merchantability, fitness for a particular purpose, or uninterrupted availability.
For consumers in the EEA/UK: we do not exclude liability for death or personal injury caused by negligence, fraud, or any liability that cannot legally be limited. Statutory rights for digital content and services remain.
For business users, and where allowed for consumers: we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, data, or business, arising from the service or from reliance on generated formulas.
Liability cap: where liability can be limited, our aggregate liability is limited to the greater of (a) the amounts you paid to us for Updevly in the 12 months before the claim or (b) USD $50.
13. Indemnity
If you use the service in a way that violates these Terms or the law, you will indemnify Szabó Gergő against third-party claims, damages, and reasonable legal fees arising from that use, to the extent permitted by consumer law (this indemnity does not apply to consumers where prohibited).
14. Termination
- You may stop using the service and cancel paid renewals at any time.
- We may suspend or terminate access for material breach, unpaid fees, unlawful use, or security risk.
- After termination, licenses end. Survival: payment obligations, IP, disclaimers, liability limits, indemnity, and dispute terms.
15. Changes to the Terms
We may update these Terms. We will post the new version with a new effective date. For material changes we will give at least 30 days’ notice where reasonable, by posting on this page and, for account holders, by email if we have one. If you do not agree, you must stop using the service and cancel any subscription before the new Terms take effect. Continued use after that date is acceptance where permitted by law.
16. Governing law and disputes
These Terms are governed by the laws of Hungary, excluding conflict-of-law rules. If you are an EU/EEA or UK consumer, you also keep the mandatory protections of your country of residence. You may bring consumer claims in the courts of your residence or of Hungary.
EU consumers may use the European Commission’s Online Dispute Resolution platform: ec.europa.eu/consumers/odr. We are not obliged to use a specific alternative dispute-resolution body unless required by law.
We do not require mandatory arbitration or a class-action waiver.
17. General
- If a clause is unenforceable, the rest remains in effect.
- A failure to enforce a clause is not a waiver.
- You may not assign these Terms without our consent. We may assign them in a merger, financing, or sale of the service.
- These Terms plus the Privacy Policy are the entire agreement for use of the public Updevly product (not covering custom enterprise contracts if we later sign one).
